VANJAN COMPANY LIMITED TERMS & CONDITIONS OF SALE

Effective Date: 7 July 2026

These Terms and Conditions govern the sale of products and services by VANJAN COMPANY LIMITED (“the Company”). By placing an order with the Company, the customer agrees to be bound by these Terms and Conditions.

1. Definitions

  • Company means VANJAN COMPANY LIMITED.
  • Customer means any individual, business, or organization purchasing goods or services from the Company.
  • Products means roofing sheets, roofing accessories, building materials, and any other products supplied by the Company.
  • Order means any request by the customer to purchase products from the Company.

2. Acceptance of Orders

All quotations are subject to acceptance by the Company.

An order shall only be deemed accepted after:

  • The Company issues an official quotation, invoice, or order confirmation; and
  • The required payment or agreed deposit has been received.

The Company reserves the right to decline any order without assigning reasons.

3. Pricing

  • All prices are quoted in Kenya Shillings (KES) unless otherwise stated.
  • Prices are subject to change without prior notice until an order is confirmed.
  • Quotation prices remain valid only for the period stated on the quotation.
  • Any applicable taxes shall be charged in accordance with Kenyan law.

4. Payment Terms

Unless otherwise agreed in writing:

  • Full payment is required before production or dispatch.
  • Where a deposit arrangement has been approved, the balance must be paid before delivery.
  • Payments shall be made using the Company’s approved payment methods.
  • Late payments may delay production or delivery.

5. Product Availability

All products are supplied subject to stock availability and manufacturer capacity.

Where a product becomes unavailable after an order is placed, the Company may:

  • Offer an alternative product;
  • Delay delivery until stock becomes available; or
  • Refund any amount paid for the unavailable item.

6. Delivery

Delivery shall be conducted in accordance with the Company’s Delivery Policy.

Delivery dates are estimates and are not guaranteed.

The Company shall not be liable for delays arising from circumstances beyond its reasonable control.

7. Inspection of Goods

Customers must inspect all products immediately upon delivery or collection.

Any shortages, visible damage, or incorrect items must be reported within 48 hours.

Failure to notify the Company within this period may constitute acceptance of the goods.

8. Returns and Refunds

Returns and refunds shall be governed by the Company’s Return & Refund Policy.

Custom-made, cut-to-size, installed, or special-order products are generally not eligible for return unless they have a verified manufacturing defect.

9. Warranty

Products are covered by the applicable Warranty Policy.

The Company’s liability is limited to repair, replacement, or refund of defective products as determined after inspection.

10. Customer Responsibilities

The customer is responsible for:

  • Providing accurate measurements and specifications.
  • Confirming colours, profiles, and quantities before placing an order.
  • Ensuring safe and accessible delivery locations.
  • Proper storage of products before installation.
  • Using qualified installers and following recommended installation practices.

11. Limitation of Liability

To the fullest extent permitted by law, VANJAN COMPANY LIMITED shall not be liable for:

  • Labour or installation costs.
  • Removal or reinstallation expenses.
  • Delays caused by third parties or force majeure.
  • Loss of profits, business interruption, or indirect or consequential losses.
  • Damage resulting from improper installation, misuse, negligence, or structural defects.

The Company’s maximum liability shall not exceed the purchase price of the affected product.

12. Force Majeure

The Company shall not be liable for failure or delay in performing its obligations where such failure results from events beyond its reasonable control, including:

  • Natural disasters;
  • Floods;
  • Fire;
  • Industrial action;
  • Government restrictions;
  • Transport disruptions;
  • Shortage of raw materials;
  • Acts of God; or
  • Other unforeseen events.

13. Cancellation of Orders

Orders cancelled before production or dispatch may qualify for a refund, subject to any administrative or processing costs.

Orders that have entered production, been customized, or dispatched may incur manufacturing, handling, transport, or cancellation charges.

14. Intellectual Property

All trademarks, logos, product images, catalogues, designs, marketing materials, and website content remain the property of VANJAN COMPANY LIMITED and may not be copied, reproduced, or used without prior written permission.

15. Privacy

Customer information collected during the ordering process shall be handled in accordance with the Company’s Privacy Policy and applicable data protection laws.

16. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the Republic of Kenya.

Any disputes arising from these Terms shall first be resolved through good-faith negotiations. Where resolution cannot be reached, the dispute shall be referred to the competent courts of Kenya.

17. Amendments

VANJAN COMPANY LIMITED reserves the right to amend these Terms and Conditions at any time without prior notice.

Any amendments shall apply only to orders placed after the revised Terms become effective.
